By accessing or using TonkOS ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is provided by UFT Holdings LLC ("Company," "we," "us"), a Florida limited liability company.
TonkOS provides custom AI assistant services for businesses. This includes training, deploying, and hosting AI language model personas ("Branches") built on proprietary model infrastructure. Branches are made available via API, embeddable chat widget, or hosted portal.
Service offerings include:
You are responsible for maintaining the confidentiality of your API key and admin credentials. You are responsible for all activity that occurs under your account. Notify us immediately at tank@tonkos.io if you suspect unauthorized access.

We reserve the right to suspend or terminate access for violations of these terms without prior notice.
TonkOS AI assistants generate responses based on training data and user input. Responses are not professional advice. Specifically:
Subscription fees are billed monthly in advance. Setup fees are one-time charges due upon onboarding. All fees are non-refundable unless otherwise agreed in writing.
Stripe processes all payments. By providing payment information you authorize recurring charges at the agreed subscription rate. Overdue accounts may be suspended after 7 days. Founding client rates are locked as agreed in writing and will not increase.
For Private AI and Secure AI ownership/buyout agreements, payment terms, milestones, and delivery schedules are governed by your written project agreement.
Your use of the Service is also governed by our Privacy Policy. In summary:
You retain ownership of all content, knowledge base materials, and documents you provide to train your Branch. UFT Holdings LLC retains ownership of the underlying model infrastructure, platform code, and all associated software.
Ownership of trained model outputs depends on your service tier:
The custom trained model ("Branch") associated with your account is licensed to you for use with the Service. It is not transferable and access terminates with your account. You do not own the model weights.
Upon payment in full and project completion, UFT Holdings LLC delivers the trained model files to you. You own the delivered model outright. UFT Holdings LLC retains no ongoing license, rights, or access to that specific trained model after delivery. Ownership terms, permitted uses, delivery specifications, and any post-delivery support obligations are governed by your written ownership or project agreement, which controls over this section in the event of any conflict.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UFT HOLDINGS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless UFT Holdings LLC and its members, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your Branch's interactions with end users.
Either party may terminate this agreement with 30 days written notice. We may terminate immediately for material violations of these Terms.
For subscription and rental clients: Upon termination, your Branch will be deactivated and your data will be retained for 30 days then deleted, unless otherwise required by law.
For buyout and on-premise clients: Termination of this Agreement does not affect ownership rights granted under a separate written ownership or project agreement. Model files delivered to you at project completion are yours and are not subject to deletion upon account termination. You retain your model regardless of account status.
These Terms are governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Hillsborough County, Florida.
We reserve the right to update these Terms at any time. We will notify active clients via email at least 14 days before material changes take effect. Continued use of the Service after changes constitutes acceptance.
